SULLIVAN, J.

Plaintiff, a disgruntled minority shareholder in a corporation that essentially acts as a cooperative corporation, brought this action, individually and, purportedly, on behalf of other shareholders, against the corporation and three individuals, Gabriele Knecht, the corporation's majority shareholder and one of its three directors, and Christopher Muto and Naomi Lyum, the corporation's other two directors, who are not shareholders...
