LEVAL, Circuit Judge:

William Aramony, the former Chief Executive Officer of United Way of America, brought this action against his former employer, after his dismissal by reason of fraud, to recover pension benefits allegedly due him. After a bench trial, the United States District Court for the Southern District of New York (Shira Scheindlin, J.) ruled in favor of Aramony, in part, and in favor of United Way, in part.
