This action was brought pursuant to the Uniform Enforcement of Foreign Judgments Act. The parties submitted this case for the trial court's consideration on stipulated facts. The parties stipulated that in the spring of 1980 Russell S. Kaylor and Derris Turner formed Kaylor Machinery & Supply, Inc. ("KM&S") and Kaylor, Inc., both Tennessee corporations.
