Zions First National Bank ("Zions") initiated this action against Clark Clinic Corporation ("Clark") to collect on a promissory note executed by one of Clark's employees, using facsimile signature stamps of Clark's officers. Clark counterclaimed against Zions to recover funds which it alleged were wrongfully disbursed from Clark's account on checks with unauthorized endorsement and stamped facsimile signatures.
