¶ 1 Appellant, The Matrix Group, LLC ("Matrix"), appeals the district court's rule 56(c) grant of summary judgment in favor of Innerlight, Inc. ("Innerlight"). In ruling for Innerlight, the district court held that the forum selection and choice of law provisions within the contract between Matrix and Innerlight are unenforceable because of Matrix's failure to fulfill a material condition precedent to the contract.
