This case involves the interpretation of a purchase and sale agreement ("PSA") whereby TC Dallas #1, LP bought an office building from Republic Underwriters Insurance Company. TC Dallas sought a judgment declaring its rights under the PSA, specifically whether Republic was liable for a portion of certain expenses.
