The defendant, NAIAD Inflatables of Newport, Inc. (NAIAD),1 is in the business of constructing and selling rigid hull inflatable boats. To assist in its sales efforts, NAIAD hired Stafford J. King, III (King), an independent contractor, who provided marketing services on a commission basis.
