ROSENBLUM, J.

This is a declaratory judgment action in which we must decide which of the parties is the legal owner of a pleasure boat. In August 2006, the boat was in the possession of American Yacht Brokers (AYB), purportedly on consignment from defendant, its legal owner. Plaintiff paid AYB for the boat and took possession of it, but he did not receive a certificate of title. AYB went out of business shortly thereafter and failed to pay defendant for the boat....
