I. INTRODUCTION

Stitch Ranch, LLC (Stitch), and Double B.J. Farms, Inc. (DBJ), entered into a contract for the transfer of real property in Dawson County, Nebraska. The contract included a provision requiring Stitch to obtain a "feedlot permit" on the property and to assign the permit to DBJ.
