Respondent Valspar Refinish, Inc. (Valspar) commenced this action to recover damages arising out of an alleged breach by Gaylord's, Inc. (Gaylord's) of the parties' refinish-coat supply agreement. Gaylord's denied the claim and asserted numerous counterclaims. Following a hearing, the Hennepin County District Court granted summary judgment in favor of Valspar, dismissed Gaylord's counterclaims...
