The plaintiff, Banco Industrial de Venezuela ("BIV"), brings this action for negligence, aiding and abetting a breach of fiduciary duty, and unjust enrichment against CDW Direct ("CDW"). The action arises out of the sales of merchandise by the defendant to a faithless employee who purported to be acting on behalf of the plaintiff.
