Loftness Specialized Farm Equipment, Inc. ("Loftness") brought this declaratory judgment action against Terry Twiestmeyer, Steven Hood, and Twiestmeyer & Associates, Inc. ("T & A"). Twiestmeyer, Hood, and T & A then asserted counterclaims against Loftness for, as relevant here, unjust enrichment and breach of two contracts.
