I. INTRODUCTION

On July 21, 2011, Plaintiff Charles R. Goldstein ("the Trustee"), the chapter 7 trustee in the bankruptcy case of Universal Marketing, Inc. ("the Debtor")1 filed a Complaint against Defendant BRT, Inc. ("BRT" or "Defendant"), seeking to avoid certain pre-petition transfers allegedly made by the Debtors to BRT.
