Plaintiff MSMLK Investments Company ("Plaintiff") filed the above-captioned action on April 23, 2009 against Defendants JP Morgan Chase & Co. ("Defendant JPMC") and JP Morgan Chase Bank, NA ("Defendant Chase Bank," and together with Defendant JPMC, "Defendants"). Defendants now move to dismiss all claims on the grounds that Plaintiff has failed to state a claim upon which relief may be granted. See
