Trovare Capital Group, LLC ("Trovare") was interested in buying the assets and real properties of Simkins Industries, Inc., and its affiliates Harvard Folding Box Co., Inc.; Linden-Summer Realty Co., Inc.; and South Union Company, Inc. (collectively, the "Defendants"). The parties executed a letter of intent ("LOI") in which they undertook to negotiate a sale before a specified date.
