This opinion is with respect to the motion (Adv.Doc. # 15) of defendants Broad and Cassel, PA., Robert F. Mailed, L.L.C. and Robert F. Mallett (collectively, "Defendants") to dismiss the complaint of Montague S. Claybrook ("Plaintiff"), the chapter 7 trustee of the estates of Scott Acquisition. Corporation ("Scott") and Scotty's Inc. ("Scotty's") (collectively, the "Debtors").1
