I. INTRODUCTION

Pending before the Court is the defendant, International Finance Corporation's ("IFC"), motion to dismiss the plaintiff's, Enterasys Networks, Inc. ("Enterasys"), Amended Complaint for lack of subject matter jurisdiction based on immunity pursuant to FED.R.CIV.P. 12(b)(1) and for failure to state a claim pursuant to FED. R.CIV.P. 12(b)(6) (Docket No. 11).
