Before the court is Defendant XM Satellite Radio Inc.'s ("XM") motion to dismiss this action for lack of subject matter jurisdiction under Fed.R.Civ.P. 12(b)(1) or for failure to state a claim under Fed.R.Civ.P. 12(b)(6) (doc. 9).
