STANTON, District Judge.

In this class action alleging violations of federal law, state law, and SEC Rule 10b-5, defendants1 move to dismiss the fourth amended complaint ("FAC") pursuant to Fed.R.Civ.P. 12(b)(6). For the reasons that follow, the motion is granted in part and denied in part.
