J. HARVEY HUDSON, Justice.

Appellant, Kennedy Ship & Repair, L.P. ("Kennedy Ship"), appeals the judgment entered in favor of appellee, Dranson Charlie Pham ("Pham"), on his breach of contract claim. We affirm.

I. BACKGROUND
