At issue in this appeal is which group of heirs of Robert M. Brennan has the right of control over a closely held family corporation, Brennan's House of Printing (BHOP). At the center of the dispute is whether Robert M. Brennan, who was BHOP's incorporator in 1972 and sole shareholder until 1981, caused 100 or 200 shares of common stock of BHOP to be issued.
