The Court has before it the complaint of Clarkeies Market, L.L.C. ("Clarkeies") against Associated Grocers of New England, Inc. ("AGNE") consisting of nine counts as follows:

Count I Breach of Fiduciary Duty Count II Breach of Confidential Relationship Count III Violation of RSA 358-A Count IV Breach of Covenant of Good Faith and Fair Dealing
