Plaintiff-appellant William Centers is the former sole shareholder of Centennial Mortgage, Inc. ("Centennial"). Centers sold all of his shares in the corporation to Matthew Kane in exchange for most of Centennial's assets. Plaintiff filed this action against Kane and Centennial, seeking a declaration defining the scope of the assets he received in the deal.
