OPINION AND FINAL ORDER

This matter comes before the court on three motions: defendants' motion for summary judgment, counterclaim defendants' motion for summary judgment, and plaintiff's motion to amend the complaint. For the reasons set forth below, the court GRANTS summary judgment to defendants on Count Two, DENIES summary judgment to defendants on Count Three, and GRANTS
