I. INTRODUCTION

Two partners formed a partnership in 1997 for the purpose of converting an existing building into a hotel. One, Earl Stiltner, contributed the parcel of land bearing the building that was to be converted. The partnership was dissolved in 1998 after the partners reached an impasse.
