Henry Misle (Misle) and his brothers, Abram Misle (Abram) and Julius Misle (Julius), were the sole stockholders of HJA, Inc., a Nebraska corporation which owned and operated several automobile dealerships in Lincoln, Nebraska. In 1990, the parties entered into a written agreement whereby the corporation could acquire Misle's stock, as well as dealership franchises held by Misle and his son Bryan Misle (Bryan), in exchange for certain cash payments.
