OPINION AND DISMISSAL ORDER

This matter is before the court on defendant's motion to dismiss for failure to state a claim, and plaintiff's motion for leave to amend the complaint. For the reasons set forth below, plaintiff's motion to amend is GRANTED, and defendant's motion to dismiss is GRANTED.
