Our opinion and judgment issued on October 23, 2003 are withdrawn, and the following opinion is substituted.

Robert "Lee" Hammack and others ("appellants") appeal from a district court judgment affirming an order of the Public Utility Commission of Texas (the "Commission") granting a certificate of convenience and necessity ("CCN") to Central Power and Light Company ("Central Power").2
