SMITH, Circuit Judge.

Eaton Hydraulics, Inc. ("Eaton"),1 appeals the district court's2 summary judgment issued in favor of Winthrop Resources Corporation ("Winthrop") in Winthrop's breach-of-contract claim. The district court determined that Eaton breached the contract and owes $4,365,437.64 in damages, costs, disbursements, and attorney's fees. We affirm.
