I. BACKGROUND

The underlying dispute in this case concerns whether plaintiff-counterdefendant Sphere Drake Insurance Limited,1 an English corporation, is liable to defendant-counterplaintiff All American Life Insurance Company,2 an Illinois corporation, on a retrocession policy know as the "Unicare Retrocession."
