In this action, filed on November 29, 2001, United Industrial Corp. ("Plaintiff") alleges that IFTE plc ("Defendant") breached an August 1, 2000 agreement ("SPA") to acquire all of the outstanding stock of Symtron Systems, Inc. ("Symtron").
