This litigation began as an action against Cold Springs Hunting Club, Inc., a Louisiana nonprofit corporation, and its board of directors, individually and in their capacity as directors, by a few of its members, seeking injunctive relief and damages. Three of the original plaintiffs, Bobby Slaydon, Connie Welch, and Wallace Martin, have appealed the trial court's rejection of their claims. For the following reasons, we reverse the trial court's judgment...
