OPINION AND ORDER

REBECCA BEACH SMITH, District Judge.

This matter is before the court on defendant's partial motion to dismiss plaintiffs' complaint pursuant to Federal Rule of Civil Procedure 12(b)(6). For the reasons set forth below, the court WITHHOLDS JUDGMENT on the motion, and DIRECTS plaintiffs to file an amended complaint.
