James Witmer sued his former employer, A.C. Aukerman Company ("ACAC"), and Arlie Aukerman for breach of a stock purchase agreement, breach of an implied covenant of good faith and fair dealing, and litigation expenses.1 In response, ACAC asserted several counterclaims, including misappropriation of trade secrets and breach of fiduciary duties.
