This interlocutory appeal arises from a civil action filed by Kemiron Atlantic, Inc. ("Kemiron"), against Aguakem International, Inc. ("Aguakem").1 Kemiron alleges that its predecessor in interest contracted to sell Aguakem ferric sulfate, and Aguakem failed to pay for the some of the shipment.
