Antonio Camacho, doing business as Westpac Freight ("Westpac"), contracted with Northwest Airlines, Inc. ("Northwest") to arrange for shipping by third parties on Northwest. A dispute arose over money allegedly owed under the contract and Northwest filed suit against Camacho, prompting Camacho to file a third-party complaint against Northwest's agent, PacAir Ltd.
