MEMORANDUM OPINION

Before the court are Defendants' motion for summary judgment and Plaintiffs' cross-motion for partial summary judgment, and the court having reviewed the motions and responses on file, is of the opinion that partial Plaintiffs' summary judgment be GRANTED, and that Defendants' motion for summary judgment be DENIED, in accordance with this memorandum.
