Defendant-appellees Cy Waddle, W.T. Walker, and T.S. Ballance were the major shareholders and directors of Somerset Oil, Inc., a Kentucky corporation. Although Somerset maintained a variety of business interests and assets, its primary emphasis was oil refining.
