BACKGROUND

Defendant ("the Corporation") is engaged in the business of bottling and marketing of Pepsi Cola products in northern New York State within the confines of St. Lawrence County. The Corporation has approximately forty employees, ten of whom are drivers that deliver Pepsi products to the corporation's customers.
