Appellees sought a declaratory judgment in Madison Circuit Court to determine whether a contract existed between Eagle Roofing and Sheet Metal, Inc., (hereinafter Appellee) and Franklin Roofing, Inc., (hereinafter Appellant), a foreign corporation.
