OPINION

A hostile bidder for control of a corporation brings a lawsuit that successfully invalidates one of the target corporation's anti-takeover defenses. In the competitive auction that results, the hostile bidder loses to an acquirer that makes a higher bid. The unsuccessful bidder then applies (in its successful lawsuit) for an award of attorneys' fees, claiming that by dismantling the anti-takeover defense...
