This appeal and cross-appeal stem from a property transaction gone bad. In September 1991, Bracha Holding, Inc. ("Bracha"), a Florida corporation, wholly owned by Seymour Deutsch ("Deutsch"), purchased the Maxine Hotel ("Maxine") in Miami Beach.
