Roy D. Johnston, M.D. is a shareholder and former employee of Conasauga Radiology, P.C. ("Conasauga"). After Johnston's employment with Conasauga ended, he sued the company, alleging that it was required to purchase his stock under a mandatory buy-sell agreement.
