¶ 1 Trillium USA, Inc., filed an action against the Board of County Commissioners of Broward County, Florida, for breach of contract. The trial court dismissed the suit, concluding that venue was not proper in Utah because, under Florida law, the action could only be pursued in Broward County, Florida.
