BROWN, Justice.

United States Fidelity and Guaranty Company ("USF & G"), the defendant in a declaratory-judgment action, appeals from a summary judgment entered in favor of the plaintiffs Baldwin County Home Builders Association, Inc. ("BCHBA"), and L.M. Smith ("Smith"). We reverse and remand.
