BUCHWALD, District Judge.

Plaintiff Korea Express USA, Inc. ("Plaintiff" or "Korea Express") brings this contract action to recover unpaid freight charges. Currently pending before the Court is a motion to dismiss the complaint by defendant Nationsbanc Commercial Corporation ("Nationsbanc") on the grounds of lack of subject matter jurisdiction and improper venue.1
