The contract language at the center of this dispute provides that Shockley Communications Corporation, the seller of the assets of a radio station, "represents and warrants ... [it shall] at its expense ... keep in good repair and operating efficiency, all tangible personal property to be transferred to the Buyer," Woodward Communications, Inc.
