I. INTRODUCTION

North Coast Industries (NCI) contracted to purchase an aircraft from Bering Sea Reindeer Products but stopped making payments because the aircraft was defective. Bering Sea successfully sued NCI and its partners, including Michael Hayes, for breach of contract. Michael Hayes appeals on various grounds.
