The defendant, Terry L. Morton, appeals a decision by the Superior Court (Smith, J.) holding him personally liable for unpaid wages owed to the plaintiff, Richard M. Rosenzweig. We reverse.

The plaintiff was an employee of New England Digital Corporation. The defendant was chairman of the board of directors of the company. In June 1992, the company went out of business due to financial difficulties. Because of the company's financial difficulties...
