Appellants/Cross-Appellees Electrical Distributors, Inc. (EDI) brought suit in Utah state court against SFR, Inc. to enforce a promissory note and alleging breach of contract. SFR removed the case to the United States District Court for the District of Utah on diversity grounds, filing a counterclaim against EDI and a third-party complaint against Duff Mitchell and Jon Mitchell, alleging breach of a purchase agreement contract, unjust enrichment...
